End-User License Agreement

This End-User License Agreement (“Agreement”) governs use of Cashflow Planning (the “Application”), software developed by SGS Legacy Partners (“SGS Legacy”). By connecting a QuickBooks Online company to the Application or otherwise using it, you agree to this Agreement.

1. Who may use the Application

The Application is for internal use by SGS Legacy and the businesses it owns or operates, and by their authorized personnel. It is not offered, sold or licensed to the public.

2. License

SGS Legacy grants authorized users a limited, non-exclusive, non-transferable, revocable license to use the Application solely for the internal financial planning of SGS Legacy businesses.

3. Restrictions

  • Do not connect QuickBooks companies that you are not authorized to access.
  • Do not copy, distribute, resell or sublicense the Application.
  • Do not attempt to circumvent its security or access controls.

4. QuickBooks data

The Application accesses QuickBooks Online data only as authorized by the connecting user and only as described in our Privacy Policy. Access can be revoked at any time from QuickBooks Online (Settings → Manage connected apps). Your use of QuickBooks Online remains subject to Intuit’s own terms.

5. Forecasts are estimates

Forecasts and reports are estimates based on available data and assumptions. They are planning aids, not financial, tax, accounting or legal advice, and should be checked against actual bank and accounting records before decisions are made.

6. No warranty

The Application is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.

7. Limitation of liability

To the fullest extent permitted by law, SGS Legacy is not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue or data, arising from use of or inability to use the Application.

8. Termination

SGS Legacy may suspend or end access at any time. Your license ends automatically if you breach this Agreement or are no longer authorized personnel of an SGS Legacy business.

9. Governing law

This Agreement is governed by the laws of the State of North Carolina, without regard to conflict-of-law rules.
